1. THIS IS AN AGREEMENT BETWEEN YOU AND CRAZYASS.COM

This is an agreement (“Agreement”) between you and CrazyAss.com.  This Agreement governs your use of the Web site or any Web page operated by CrazyAss.com. You represent that You are at least 18 years of age and have attained the age of majority in the province, state or country in which You reside, You are fully able and competent to enter into all terms and conditions, fulfill all obligations, representations, warranties, and any information that You submit is current and correct.

CRAZYASS.COM OFFERS THE WEB SITE TO YOU CONDITIONED ON YOUR ACCEPTANCE OF THESE TERMS OF USE WITHOUT MODIFICATION OF THIS

AGREEMENT. YOUR USE OF THE WEB SITE CONSTITUTES YOUR ACCEPTANCE OF THIS AGREEMENT. THIS AGREEMENT CONTAINS DISCLAIMERS OF WARRANTIES AND LIABILITY; AND AN EXCLUSIVE REMEDY.  THESE PROVISIONS FORM AN ESSENTIAL BASIS OF OUR BARGAIN.

2. SUBMISSIONS

CrazyAss.com permits the publication of videos or other communications submitted by You and other users (“Submissions”). All Submissions posted or sent to CrazyAss.com shall automatically be deemed non-confidential. By posting or sending a Submission, You expressly grant CrazyAss.com a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, reproduce, modify, publish, edit, translate, distribute, perform, display, and make derivative works of such Submission (or any advertising, promotion, publicity, or ancillary marketing or merchandising  campaigns for CrazyAss.com), and your name, voice, and/or likeness as  contained in your Submission, in whole or in part, and in any form, media or  technology, whether now known or hereafter developed, including the unfettered  right to sublicense such rights, in perpetuity throughout the universe.  You also hereby waive the benefits of any provision of law known as moral rights of authors, “droit moral”, or any similar laws, and you agree not to institute, support, maintain or authorize any  lawsuit on the grounds that CrazyAss.com (or any advertising, promotion,  publicity, or ancillary marketing or merchandising campaigns for CrazyAss.com) in any way constitutes an infringement of such moral rights  or defamation or mutilation of any part thereof, or contains unauthorized variations, modifications, changes or translations thereto. CrazyAss.com intends this to include, among other things, any lawsuit that might be concerned with the editing, changing, modifying or translating of the Submission.

By submitting your Submissions, You represent and warrant that You own, or have all the necessary licenses, rights, consents, and permissions to use and authorize CrazyAss.com to use all patent, trademark, copyright or other proprietary rights in and to all Submissions in the manner contemplated by the Web Site and these Terms of Use; and You have the written consent, release, and/or permission  of each and every identifiable individual person in the User Submission to use  the name or likeness of each and every such identifiable individual person in  the manner contemplated by the Web Site and these Terms of Service.

You also agree that You will not submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless You are the owner of such rights or have permission from their rightful owner to post the material; publish falsehoods or misrepresentations, whether purposefully or negligently, that may cause damage to CrazyAss.com or any third party; submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing or encourages conduct that would be considered a criminal offense, give rise to civil liability or violate any law; post advertisements or solicitations of business; or impersonate another person. CrazyAss.com does not endorse any Submission or any opinion, recommendation or advice expressed therein, and CrazyAss.com expressly disclaims any and all liability in connection with Submissions.  If notified of a Submission that allegedly does not conform to this Agreement, CrazyAss.com may investigate the allegation and determine in  good faith and in its sole discretion whether to remove the Submission.

You understand that when using the CrazyAss.com Web Site you will  be exposed to numerous Submissions from a variety of sources.  You also understand that CrazyAss.com is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such Submissions. You further understand and acknowledge that you may be exposed to Submissions that may be deemed inaccurate, offensive, indecent or objectionable, and You agree to waive, and hereby do waive, any legal and/or equitable rights or remedies You have or may have against CrazyAss.com with respect thereto, and agree to indemnify  and hold CrazyAssVideos.com, its Owners/Operators, affiliates, and/or licensors,  harmless to the fullest extent allowed by law regarding all matters related to  your use of the Web Site.

3. DISCLAIMER

CRAZYASS.COM (INCLUDING WITHOUT LIMITATION ANY CONTENT) IS PROVIDED “AS IS”, “WITH ALL FAULTS”, “AS AVAILABLE” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, OR STATUTORY.   TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, CRAZYASS.COM DISCLAIMS ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS  FOR A PARTICULAR PURPOSE, WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF  DEALING OR USAGE OF TRADE, NON-INFRINGEMENT AND TITLE. WE DO NOT WARRANT THAT CRAZYASS.COM WILL MEET YOUR REQUIREMENTS, THAT YOUR ACCESS OR OPERATION OF CRAZYASS.COM OR ANY CONTENT ACCESSIBLE THROUGH CRAZYASS.COM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE  CRAZYASS.COM SITE (OR ANY SERVERS THAT MAKE SUCH MATERIALS AVAILABLE) ARE  FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF CRAZYASS.COM IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE, OR THAT THE USE OF CRAZYASS.COM WILL NOT ADVERSELY AFFECT YOUR OR ANY OTHER PERSONS USE OF THE COMPUTER(S) ON WHICH CRAZYASS.COM IS  ACCESSED OR VIEWED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY CRAZYASSVIDEOS.COM OR AN AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OF ANY KIND. APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF EXPRESS OR IMPLIED WARRANTIES, SO CERTAIN OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU MAY ALSO  HAVE OTHER LEGAL RIGHTS WHICH VARY FROM STATE TO STATE AND JURISDICTION TO  JURISDICTION.

4.  LIMITATION OF LIABILITY

IN NO EVENT WILL CRAZYASS.COM PARTY BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION  ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING  OUT OF, BASED ON, OR RESULTING FROM THIS AGREEMENT OR YOUR USE OF OUR WEB SITE,  EVEN IF SUCH CRAZYASSVIDEOS.COM PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF  SUCH DAMAGES. THE EXCLUSION OF DAMAGES UNDER SECTION 10 IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY AND SURVIVES IN THE EVENT SUCH REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS OTHERWISE DEEMED UNENFORCEABLE. THESE LIMITATIONS AND EXCLUSIONS  APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (1) BREACH OF CONTRACT,  (2) BREACH OF WARRANTY, (3) NEGLIGENCE, (4) COPYRIGHT INFRINGEMENT, OR (5) ANY  OTHER CAUSE OF ACTION, INCLUDING ALL PRIVACY RIGHTS, TO THE EXTENT SUCH  EXCLUSION AND LIMITATIONS ARE NOT PROHIBITED BY APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH CRAZYASS.COM, YOU DO NOT AGREE WITH ANY PART OF THIS  AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST ANY  CRAZYASSVIDEOS.COM PARTY WITH RESPECT TO THIS AGREEMENT OR OUR WEB SITE, THEN  YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING  CRAZYASS.COM.

5.  INDEMNIFICATION

You hereby indemnify, defend, and hold CrazyAss.com  and our affiliates and our officers, directors, owners, agents, information  providers, licensors, and licensees (collectively, the “Indemnified Parties”)  harmless from and against any and all liabilities and costs (including  reasonable attorneys’ fees) incurred by the Indemnified Parties in connection  with any claim arising out of any breach by You of these terms of use or claims  arising from your violation of any third party right, including without  limitation any copyright, property, or privacy right; or any claim that one of  your Submissions caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the CrazyAss.com Web Site.  We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

6.  JURISDICTIONAL ISSUES

CrazAss.com makes no representation that materials on our Web Site are appropriate or available for use in any particular location.  By your choosing to access our Web Site, You do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws  are applicable.

7.  GENERAL

These terms of use shall be governed by and construed in accordance with the laws of the State of California and the laws of the United States, without giving effect to any principles of conflicts of law.  You agree that CrazyAssVideos.com is deemed a passive web site and that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in Los Angeles County, California, and You hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. If any provision of these terms of use shall be determined unlawful or void by a court of competent jurisdiction, or for any reason unenforceable, then that provision shall be deemed severable from these terms of use and shall not affect the validity and enforceability of any remaining provisions.  This is the entire agreement between us relating to the subject matter herein and shall not be modified except in  writing, signed by both parties.
